Terms of Service

1. Agreement and service provider

These Terms of Service (the "Terms") are a binding agreement between you and Composable Labs LLC ("Composable Labs," "we," "us"), a New York limited liability company, governing access to and use of the Boxel web application, Boxel websites and subdomains, the Boxel command line interface when connected to our hosted services, and related hosted services (the "Services").

By creating an account or using the Services, you agree to these Terms. If you act for an organization, you represent that you have authority to bind it, and "you" refers to that organization.

Open-source Boxel code that you download and operate independently is governed by its applicable open-source license, not these Terms, except when that code connects to or uses the hosted Services.

2. Eligibility

You must be at least 18 years old, or the age of majority where you live, and legally able to enter into a contract. You may not use the Services if applicable law or export controls prohibit it or if we previously terminated your account for a material violation and have not authorized renewed access.

3. Your account

You are responsible for accurate account information, safeguarding credentials, and activity under your account. Notify security@boxel.ai promptly if you suspect unauthorized access. Organization administrators may manage membership and access to organization workspaces.

You may close your account at any time. Closing an account does not cancel or alter amounts already due, and deletion follows our Privacy Policy.

4. The Services and service levels

Boxel is a workspace in which people and AI agents build software, documents, and data organized as cards in realms. We may improve, add, change, or retire features.

Self-service plans do not include a guaranteed uptime percentage, service credit, response time, or other service-level agreement. Any binding SLA, support commitment, security addendum, or negotiated enterprise term must be in a separate written agreement signed or accepted by Composable Labs.

If we materially discontinue a paid feature that formed a substantial part of your plan, we will provide reasonable advance notice where practicable. Your remedy is to cancel before the change takes effect. If we discontinue the paid Services entirely during a prepaid period, we will provide a pro-rata refund for the unused portion unless the discontinuation results from your breach, law, or circumstances for which a refund is legally unavailable.

5. Plans, automatic renewal, credits, cancellation, and refunds

Current plan prices, included credits, workspace limits, and storage allowances appear on our pricing page. Paid self-service plans renew automatically monthly and are billed in advance until canceled. Before you subscribe, the checkout flow will display the recurring price, billing frequency, cancellation policy, and any minimum commitment.

By starting a paid plan, you authorize us and our payment processor to charge the disclosed recurring fee and applicable taxes to your selected payment method each month until cancellation. We will provide an electronic acknowledgment identifying the plan and how to cancel.

Free plan payment method. We may require a valid payment method to reduce fraud or issue free credits. A free-plan payment method will not be charged unless you affirmatively purchase a paid plan, a credit pack, or another paid item.

Digital delivery. Plans, credits, and other paid Services are delivered electronically to your account after successful checkout. We do not ship physical goods. If a purchase is not made available as described, contact support@boxel.ai.

Cancellation. You may cancel at any time using a method at least as easy as the method used to subscribe, including through the account's Billing Settings for an online subscription or by emailing support@boxel.ai. Where required by law, cancellation will be available through every medium through which we accept subscription consent. We do not charge a cancellation fee. Cancellation stops the next recurring charge and takes effect at the end of the current paid billing period. If Billing Settings are unavailable, an email received before the next charge is sufficient. We will send confirmation after processing an email cancellation.

Boxel Credits. AI features consume credits when a request is processed, including when an output does not meet your expectations. Credits are a limited, prepaid contractual right to use AI functionality; they have no cash value, are non-transferable, and cannot be redeemed for money.

Monthly credits included with a plan expire at the end of that monthly billing period and do not roll over. Any expiration applicable to a separately purchased credit pack will be disclosed clearly before purchase and in the receipt. If no expiration is disclosed, purchased credits do not expire while the account remains active.

Pricing changes. We will provide the advance notice required by applicable law, ordinarily 30 days, before a pricing change applies. Before charging an increased recurring price, we will obtain affirmative consent or provide any alternative cancellation period and pro-rata refund right permitted and required by applicable law. You may cancel before the new price takes effect.

Refunds. Except where required by law or expressly stated in these Terms, subscription fees and consumed credits are non-refundable. If we terminate a paid account solely for our convenience, we will refund the unused pro-rata portion of the current subscription period and the purchase price attributable to unconsumed, separately purchased credits. Monthly plan credits are not refundable.

6. Acceptable use

You may not use the Services to:

• violate law, intellectual-property rights, privacy rights, or contractual restrictions;
• upload or generate malware or attempt unauthorized access to a system, account, credential, or data;
• disrupt or place unreasonable load on the Services, including denial-of- service activity, unauthorized scraping, or bulk access outside documented interfaces;
• mine cryptocurrency or run unrelated compute workloads on our infrastructure;
• resell the Services as a standalone service bureau without written approval;
• use non-public aspects of the Services or output obtained from them to train or improve a directly competing foundation model or hosted AI-agent platform;
• scrape or extract content from other users or the Services to create an ML training dataset without authorization;
• create or distribute content that sexually exploits minors, promotes or instructs imminent violence or self-harm, unlawfully harasses others, or is intentionally deceptive in a manner likely to cause material harm; or
• use AI output as the sole basis for a consequential medical, legal, financial, employment, housing, credit, safety, or infrastructure decision.

The last restriction does not prohibit drafting, research, analysis, legal review, financial analysis, or other professional-support workflows when a qualified person independently reviews the relevant source material and output before it is used for a consequential decision. Boxel is an assistance tool, not a substitute for a licensed professional.

We may investigate suspected violations and take proportionate action under Section 14.

7. Third-party AI models and providers

Boxel does not operate its own foundation models. When you use an AI feature, your prompt and attached or referenced content are transmitted through our AI Gateway to one or more providers identified in our Privacy Policy. OpenRouter may route a request to an upstream model provider.

By using an AI feature, you instruct us to transmit that material for the limited purpose of generating a response and acknowledge that:

1. the material leaves Boxel-controlled systems and is processed by the selected provider;
2. provider retention, region, and technical controls may differ by model and route, as explained in the Privacy Policy;
3. you will not submit material you are not authorized to disclose to the selected provider; and
4. AI features are optional.

Composable Labs does not use Your Content, prompts, or outputs to train or develop models. We use commercial or API configurations intended to restrict provider training and enable zero- or limited-retention settings where available. We do not promise that every model route offers zero retention.

The Privacy Policy states the commitments Composable Labs makes to you. Third-party policies describe those providers' own operations but do not expand the rights you grant Composable Labs under these Terms.

Model availability, capability, latency, price, and technical controls can change. We will handle material provider changes as described in the Privacy Policy.

8. AI output and agent actions

Accuracy. AI output may be inaccurate, incomplete, outdated, biased, insecure, or wrong. You are responsible for reviewing and testing output before relying on it.

Non-uniqueness. Output may be similar or identical to output generated for another user and is not guaranteed to be unique, novel, or free of third-party rights.

Ownership. As between you and Composable Labs, you own output generated for you, subject to third-party rights, applicable law, and your compliance with these Terms. Composable Labs retains no right to use your output for model training.

Agentic actions. An agent may write files, call commands, publish content, or interact with connected services only when authorized through the Services. Those actions are taken at your direction. Review the requested scope and result, especially before approving an external, financial, publishing, or destructive action.

9. Your Content and customer data

You own Your Content. You retain all right, title, and interest in cards, code, files, data, and other material you create or upload. We claim no ownership of it.

Limited service license. You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, index, render, display, back up, and otherwise process Your Content only as necessary to provide, secure, maintain, and support the Services, comply with your instructions, and meet legal obligations. The license ends when Your Content is deleted or the account closes, subject to the retention periods in the Privacy Policy.

This license does not permit model training, advertising, sale of Your Content, or use for an unrelated commercial purpose.

U.S. service-provider commitments. To the extent Your Content contains personal information that we process on your behalf, Composable Labs will:

• act as a service provider, contractor, or processor where applicable;
• process that information only to provide the Services, follow your lawful instructions, secure the Services, and meet applicable legal obligations;
• not sell or share it for cross-context behavioral advertising;
• not retain, use, or disclose it outside the direct business relationship or combine it with unrelated personal information except as permitted by applicable law;
• require subprocessors to protect it through written obligations;
• provide reasonable assistance with legally required privacy requests; and
• return or delete it through the export and deletion processes described in these Terms and the Privacy Policy.

Customers requiring GDPR, UK GDPR, healthcare, financial-services, education, or other regulated-data terms must contact privacy@boxel.ai and execute an appropriate written addendum before using Boxel for that regulated Customer Personal Data.

Publishing. When you publish a realm or card, you make it available according to the selected publishing settings and are responsible for having the rights and notices needed to do so.

Your users. If you build software used by other people, you are responsible for your relationship with them, including your privacy notice, terms, permissions, security configuration, and lawful handling of their data.

10. Our intellectual property and open source

The hosted Services, Boxel branding, trademarks, and documentation are owned by Composable Labs and its licensors. These Terms provide a limited, non-exclusive, non-transferable right to use the hosted Services in accordance with them.

Portions of Boxel are released under open-source licenses, including the MIT License. The applicable open-source license controls with respect to that code.

11. Beta features

Features labeled beta, preview, early access, or experimental are provided for evaluation, may change or be withdrawn, may be less reliable, and are excluded from service commitments unless a separate written agreement says otherwise.

12. Copyright notices and counter-notices

We respond to properly submitted notices of alleged copyright infringement. Send notices to:

A notice should include the claimant's signature; identification of the work; the location of the allegedly infringing material; contact information; a good-faith statement; and a statement under penalty of perjury that the notice is accurate and the claimant is authorized to act.

If your content is removed by mistake or misidentification, you may send a counter-notice to the same address identifying the removed material and its prior location, consenting to the applicable federal court's jurisdiction, and including the statements and signature required by 17 U.S.C. Section 512(g). We may restore material as permitted by law. We maintain and reasonably implement a policy for terminating repeat infringers in appropriate circumstances.

The statutory designation is effective only if Composable Labs separately registers and maintains its designated agent with the U.S. Copyright Office and publishes all contact information required by that registration. The Copyright Office's current directory controls if it differs from this section.

13. Privacy

Our Privacy Policy explains how we handle personal information and is incorporated into these Terms.

14. Term, suspension, termination, and data exit

These Terms apply while you use the Services. You may stop using the Services, cancel a paid plan, or close your account at any time.

We may suspend or terminate access immediately where reasonably necessary to address unlawful activity, a material security threat, fraud, harmful abuse, a binding legal requirement, or a material breach that cannot reasonably be cured. For non-payment or a curable breach, we will ordinarily provide notice and a reasonable opportunity to cure before termination.

We may terminate a self-service account for convenience with at least 30 days' advance notice. Refunds for a paid convenience termination are described in Section 5.

Where law and security permit, a suspended or terminated customer will have at least 30 days of read-only access or another reasonable method to export Your Content. We may deny or limit access to particular content where continued access would be unlawful, expose another person's data, or create a material security risk. After the export period, deletion follows the Privacy Policy.

You may appeal a suspension or termination by emailing support@boxel.ai. An appeal does not require us to restore access while a security or legal risk remains.

15. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT EXPRESS, IMPLIED, OR STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE OR THAT AI OUTPUT WILL BE ACCURATE OR SUITABLE FOR A PARTICULAR PURPOSE.

Some jurisdictions do not allow particular disclaimers, so this section applies only to the extent permitted by law. Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPOSABLE LABS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OR FOR LOST PROFITS, REVENUE, GOODWILL, OR BUSINESS INTERRUPTION ARISING FROM THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).

The exclusions and cap do not apply to liability that cannot legally be limited, or to Composable Labs' fraud, willful misconduct, or gross negligence. Some jurisdictions provide additional non-waivable consumer remedies.

Separate enterprise terms may provide different caps, security commitments, or remedies.

17. Indemnification

To the extent permitted by law, you will defend and indemnify Composable Labs and its officers, members, employees, and agents against a third-party claim arising from Your Content, your unlawful use of the Services, your material breach of these Terms, or your infringement of a third party's rights.

We will give reasonably prompt notice, permit you to control the defense with qualified counsel, and provide reasonable cooperation at your expense. You may not settle a claim in a manner that admits fault by, imposes non-monetary duties on, or fails to fully release Composable Labs without our written consent, which will not be unreasonably withheld. You are not responsible to the extent a claim results from Composable Labs' own material breach, gross negligence, or willful misconduct.

18. Governing law and disputes

These Terms are governed by New York law and applicable U.S. federal law, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Before filing a claim, a party must send a written notice describing the claim to legal@boxel.ai. The parties will attempt in good faith to resolve it for 60 days. Either party may still seek urgent injunctive relief or file an individual claim in an eligible small-claims court.

Subject to non-waivable consumer law and small-claims jurisdiction, unresolved claims must be brought in state or federal court in New York County, New York. Each party consents to jurisdiction and venue there.

TO THE EXTENT PERMITTED BY LAW, EACH PARTY WAIVES A JURY TRIAL, AND CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS OR REPRESENTATIVE PROCEEDING.

Any claim must be filed within one year after it accrues, except where law requires a longer period. This section does not deprive a consumer of a forum, remedy, or limitations period that applicable law makes non-waivable.

19. Changes to these Terms

We may update these Terms. For material changes, we will provide at least 30 days' advance notice by email or through the Services before they take effect. If a change requires affirmative consent under applicable law, we will request it. Otherwise, continued use after the effective date constitutes acceptance; if you disagree, you may cancel and close your account before the change takes effect.

20. General

Entire agreement. These Terms and the Privacy Policy are the entire agreement regarding the self-service hosted Services, unless a separate written agreement expressly controls.

Order of precedence. A signed or expressly accepted enterprise agreement controls over these Terms to the extent of a conflict.

Severability. An unenforceable provision will be limited to the minimum extent necessary, and the remaining provisions remain effective.

No waiver. Failure to enforce a provision is not a waiver.

Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, financing, reorganization, acquisition, or sale of substantially all relevant assets, subject to the Privacy Policy.

Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, except for payment obligations already incurred.

Notices. We may send operational and legal notices to the email associated with your account or through the Services. Legal notices to Composable Labs must be sent to legal@boxel.ai and the mailing address in Section 1. Email is effective when received; mailed notice is effective on confirmed delivery.

Survival. Provisions concerning ownership, payment, AI output, disclaimers, liability, indemnification, disputes, and general terms survive to the extent their purpose requires.
