Welcome to Composable Labs, LLC ("Company," "we," "us," "our"). These Terms of Service ("Terms") govern your access and use of our services, including our website and platform at boxel.ai ("Platform").

By accessing or using the Platform, you agree to comply with and be bound by these Terms. If you do not agree, you may not access or use the Platform.

1. Acceptance of Terms

You must be at least 13 years old to use the Platform. If you are under the age of consent in your jurisdiction, you may use the Platform only with the consent of your parent or guardian.

2. Changes to the Terms

We may update these Terms at any time. Any changes will take effect 30 days after we notify you. Continued use of the Platform after the changes means you accept the revised Terms.

3. Account Registration and Security

• To use certain features, you must create an account.
• You agree to provide accurate, current, and complete information.
• You are solely responsible for maintaining the security of your account credentials.

4. Subscription, Fulfillment, and Payments

4.1 Subscription & Model Usage

We provide access to the Platform through subscription plans:

• Free Plan
• $12/month Plan (Creator)
• $49/month Plan (Power User)

All plans include an allotted amount of free usage. Additional usage costs will be charged based on your set spend limit. Credits do not roll over.

4.2 Refund Policy

• Subscriptions can be canceled at any time by you or us.
• As a general rule, refunds are not provided for any subscription or usage costs.
• Refund exceptions may be granted at our sole discretion.

4.3 Cancellation Policy

You may cancel your subscription at any time through your account settings. Upon cancellation, access to the Platform will terminate immediately.

4.4 Delivery Policy

Access to the Platform is delivered digitally and immediately upon successful sign-up and payment (if applicable). No physical goods will be shipped.

4.5 Return Policy

Returns are not applicable since we provide digital services. For any issues or concerns, please contact our support team for assistance.

5. User Conduct and Acceptable Use Policy (AUP)

You agree not to:

• Violate laws or infringe upon third-party rights.
• Use the Platform to create misleading, harmful, or deceptive content.
• Reverse-engineer, extract, or misuse the Platform’s data or output.
• Represent AI-generated output as human-created.
• Use the Platform to promote hate, discrimination, or illegal activities.

If violations occur:

• You may receive warnings, suspension, or account termination based on severity.
• We reserve the right to update our AUP to reflect evolving ethical and societal standards.

6. Intellectual Property

• Your Content: You retain ownership of your content. By using the Platform, you grant us a non-exclusive, sublicensable license to use your content to provide, improve, and develop the Platform.
• Licensed Content: Some portions of the Platform include content, technology, or services licensed to us by third-party organizations. Use of Licensed Content must comply with any applicable licensing terms.
• Similar Output: Due to the nature of AI, content generated for you may resemble output provided to other users.
• Platform Ownership: We own the Platform and its underlying technology, trademarks, and intellectual property.

7. Data Protection and Privacy

Your use of the Platform is governed by our Privacy Policy, which details our compliance with GDPR, CCPA, and other data privacy laws.

• We do not sell your personal data.
• You have rights to access, correct, delete, or restrict processing of your personal data.

8. Third-Party Services

The Platform may integrate third-party services (e.g., foundational AI models). Your use of these services is subject to their respective terms.

9. Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, or consequential damages. Our total liability will not exceed the amount you have paid us in the preceding six (6) months or $100 USD.

10. Termination

We reserve the right to suspend or terminate your access to the Platform for any violation of these Terms or other lawful reasons. Upon termination, you must cease using the Platform.

11. Dispute Resolution

Binding Arbitration: Any dispute will be resolved through arbitration in accordance with the rules of the American Arbitration Association (AAA). You waive the right to a jury trial or class action.

12. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in New York County, New York.

13. General Terms

• Severability: If any provision is held invalid, the rest remain enforceable.
• Assignment: You may not transfer your rights under these Terms without our consent.
• Notice: Updates or communications may be delivered via email, in-product notifications, or public channels.
